These Terms of Service (“Terms”) govern your access to and use of the FocusedSpark platform, including our website, software, AI-powered business assistant (“Ava”), and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using FocusedSpark, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into these Terms
- You will provide accurate, current, and complete information during registration
- You will comply with all applicable laws and regulations in your use of the Service
2. Description of Service
FocusedSpark is an AI-powered business operating system designed for solopreneurs and executive coaches. The Service includes:
- AI Assistant (Ava): An intelligent assistant that proactively generates business recommendations, analyzes documents, automates administrative tasks, and provides strategic insights
- Document Management: Integration with Google Drive for document storage, analysis, and organization
- Business Tools: Task management, planning, analytics, scheduling integration, and client management features
- Payment Processing: Secure payment collection and processing through Stripe Connect
- Analytics and Tracking: Business metrics, user behavior analytics, and performance insights
3. Account Registration and Security
3.1 Account Creation
You must create an account to use the Service. You agree to maintain the confidentiality of your account credentials and are responsible for all activities that occur under your account.
3.2 Account Responsibility
You are responsible for:
- Maintaining the security of your password and account
- All content posted and activity that occurs under your account
- Notifying us immediately of any unauthorized access or security breach
4. Subscription Plans and Payment
4.1 Subscription Fees
Access to FocusedSpark requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as explicitly stated in these Terms.
4.2 Payment Processing
All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for providing accurate payment information and updating it as needed.
4.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
4.4 Price Changes
We reserve the right to modify subscription fees with at least 30 days’ notice. Continued use of the Service after price changes constitutes acceptance of the new fees.
4.5 Refund Policy
We offer a 14-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 14 days of initial purchase. Subsequent renewals are non-refundable.
5. Use of AI Services
5.1 AI-Generated Content
FocusedSpark uses artificial intelligence to analyze your business data and provide recommendations. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated recommendations before acting on them.
5.2 No Professional Advice
The Service, including Ava’s recommendations, does not constitute legal, financial, tax, or professional business advice. You should consult with appropriate professionals before making significant business decisions based on AI recommendations.
5.3 AI Training
We do not use your personal business data to train our AI models. However, we may use anonymized, aggregated data that cannot identify you or your business to improve our AI services.
6. User Content and Data
6.1 Your Content
You retain all ownership rights to content you upload, create, or store through the Service (“User Content”). By using the Service, you grant us a limited license to use, store, process, and display your User Content solely to provide and improve the Service.
6.2 Content Restrictions
You agree not to upload or share content that:
- Violates any third-party intellectual property rights
- Contains malware, viruses, or harmful code
- Is illegal, fraudulent, defamatory, or harmful
- Violates any applicable laws or regulations
6.3 Data Backup
While we implement robust backup procedures, you are responsible for maintaining your own backup copies of important User Content. We are not liable for any loss or corruption of User Content.
7. Integrations and Third-Party Services
7.1 Third-Party Integrations
The Service integrates with third-party services including Google, Stripe, and other business tools. Your use of these integrations is subject to the respective third party’s terms of service and privacy policies.
7.2 Authorization
By connecting third-party services, you authorize us to access and process data from these services as necessary to provide our Service. You may revoke these authorizations at any time through your account settings.
7.3 No Warranty for Third-Party Services
We are not responsible for the availability, functionality, or security of third-party services. Any issues with integrated services should be addressed with the respective service provider.

FocusedSpark, including all software, features, functionality, and content (excluding User Content), is owned by FocusedSpark and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

If you provide suggestions, ideas, or feedback about the Service, we may use such feedback without any obligation to compensate you. You grant us a perpetual, worldwide, royalty-free license to use any feedback you provide.
10. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
11. Disclaimers and Limitations of Liability
11.1 Service Provided “As Is”
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUSEDSPARK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Maximum Liability
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
12. Indemnification
You agree to indemnify, defend, and hold harmless FocusedSpark and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your User Content
- Your violation of any third-party rights
13. Term and Termination
13.1 Term
These Terms remain in effect while you use the Service. Your subscription continues until canceled by you or terminated by us.
13.2 Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
13.3 Termination by Us
We may suspend or terminate your access to the Service immediately, without notice, if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay subscription fees
- Pose a security risk to the Service or other users
13.4 Effect of Termination
Upon termination, your right to access the Service immediately ceases. We will retain your User Content for 30 days after termination, after which it may be permanently deleted. You may request a copy of your data during this period.
14. Changes to Terms
We may modify these Terms at any time by posting the updated Terms on our website and updating the “Last Updated” date. Material changes will be communicated via email or within the app at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
15. Dispute Resolution
15.1 Informal Resolution
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@focusedspark.com. We will attempt to resolve the dispute within 60 days.
15.2 Arbitration
If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. The arbitration shall take place in the state where you reside or another mutually agreed location.
15.3 Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as a class action, consolidated action, or representative action.
16. General Provisions
16.1 Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
16.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FocusedSpark regarding the Service and supersede all prior agreements.
16.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
16.5 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
